Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Singlefabric LLC ("Company," "we," "us," or "our") concerning your access to and use of the Mindaeon platform and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. By using our Services, you represent and warrant that you meet these requirements.

Account Registration and Security

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

License and Access Rights

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include any right to resell or commercial use of the Services, or any derivative use of the Services or their content.

Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malicious code, viruses, or harmful components
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Use the Services for competitive analysis or to build similar products
• Remove or obscure any proprietary notices on the Services

Intellectual Property Rights

The Services and all related content, features, and functionality are owned by Singlefabric LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Payment Terms

If you purchase a paid subscription or service:

• You agree to pay all fees according to the pricing and billing terms in effect
• All fees are non-refundable except as expressly stated in your agreement
• You authorize us to charge your payment method on a recurring basis
• You are responsible for all taxes associated with your purchase
• We may suspend or terminate your access for non-payment

Data Processing and Privacy

Our collection and use of personal information is governed by our Privacy Policy. For enterprise deployments, data processing terms may be specified in separate Data Processing Agreements. You are responsible for ensuring your use of the Services complies with applicable data protection laws.

Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Services at any time. Specific uptime commitments may be provided in separate Service Level Agreements for enterprise customers.

Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SINGLEFABRIC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Singlefabric LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party rights.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in Austin, Texas, except that either party may seek injunctive relief in court.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and us
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect
• Waiver: No waiver of any term shall be deemed a further or continuing waiver
• Assignment: You may not assign these Terms without our prior written consent
